Delivery Partner Terms and Conditions

Please read these terms of use carefully by accessing or using this internet based HealthcareNow Delivery Partner Platform, you agree to be bound by the terms described herein and all terms incorporated by reference. If you do not agree to all of these terms, do not use this internet based platform.

By clicking the “I ACCEPT” button, you agree to bound by these Delivery Partner(s) Terms and Conditions (“T&Cs”) for using and accessing the HealthcareNow Delivery Partner Platform (“HealthcareNow Delivery Partner Platform”), for the purpose of receiving medicine orders and undertaking delivery to the Customer(s) (as defined below) of HealthcareNow’s proprietary online website and/or mobile based medicine order placement application (“Customer Application”). These T&Cs shall form the complete understanding between you and HealthcareNow.
If for any reason you do not accept the terms contained in these T&Cs, do not proceed to accept these T&Cs or use the HealthcareNow Delivery Partner Platform or avail any of the services being provided therein. YOUR ACCEPTANCE OF THESE T&Cs SHALL OPERATE AS A BINDING AGREEMENT BETWEEN YOU AND HealthcareNow IN RESPECT OF THE SERVICES OF THE HealthcareNow Delivery Partner Platform.

1. Definitions


1.1. "“Acceptance”" shall mean any entity which directly or indirectly controls, is controlled by, or is under common control with the subject entity. "Control" for the purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.

1.2. “Agreement” means this Master Subscription Agreement, including the Service Level Agreement, Data Processing Agreement, Security Agreement, and any other exhibits, addenda, or attachments hereto, and any fully executed Order Form.

1.3. "Applicable Law(s)" shall mean and include any law, statute, ordinance, rule, regulation, guideline, policy, or other pronouncement having the effect of a law in India, is in effect or which may come into effect on a future date.

1.4. "Customer(s)" shall mean the customers who place an medicine order with the Pharmacy(s)

1.5. “Delivery Partner(s)” or “You” or “Your” or “Yourself” shall mean the individuals who agree to provide Delivery Services to HealthcareNow and the Customer(s) as per the T&Cs contained hereunder.

1.6. “Delivery Charge(s)” shall mean the delivery fee charged by the Delivery Partner(s) for providing the Delivery Services (as defined below) and shall include any additional amounts (whether charged as surge or by such other name) charged by the Delivery Partner(s) for providing Delivery Services during rain, high demand period, late night, adverse weather conditions or such conditions as may be decided from time to time. The Delivery Partner Fee(s) shall be communicated to the Delivery Partner(s) through DP Platform.

1.7. “Delivery Partner Information” shall mean and include any personal data collected from the Delivery Partner(s) including, KYC documents, valid & operational PAN card, bank account details, copies of a valid vehicle registration certificate, driving license, location data, photographs, nominee details and any other information as may be required by HealthcareNow or its authorised third parties or agents, from time to time.

1.8.“Delivery Services” shall mean the services provided by any of the Delivery Partner(s) for collecting and delivering the items ordered by the Customer(s) from the Pharmacy(s).

1.9. “Time Slot(s)” shall mean a feature, whereby a Delivery Partner(s) can book slots in advance to provide Delivery Services.
1.10 “Platform Services” shall mean the services provided by HealthcareNow to the Delivery Partner(s) through the DP Platform including receiving medicine orders placed by the Customer(s), access to the benefits and providing any Delivery Partner(s) assistance etc.

1.11. “Policies” shall mean the policies and guidelines as available in the help section of the DP Platform.

1.12. “Termination Date” shall mean the date on which the Agreement is terminated either by HealthcareNow or the Delivery Partner(s).

1.13. “Tip(s)” shall mean a sum of money in addition to the medicine order value that Customer(s) may voluntarily decide to pay the Delivery Partner(s).

1.14. “HealthcareNow” or “We” or “Us” or “Our” shall mean HealthcareNow Private Limited, a company incorporated under the Companies Act, 2013, with its registered office at Pearl 405, SriSaiRam Manor, Pragathi Nagar, Yousufguda, Hyderabad - 500045 which expression shall, unless it be repugnant to the context or meaning thereof, be deemed to mean and include all our successors, affiliates and assigns.

1.15. “HealthcareNow DP Platform” shall mean the mobile application developed by HealthcareNow for the purpose of connecting the Delivery Partner(s) with the Pharmacy(s) and the Customer(s) to undertake the Delivery Services. It shall also include for all purposes the mobile interface or application provided to the Delivery Partner(s) that enables the Delivery Partner(s) to undertake Delivery Services as well as enables HealthcareNow, to track the medicine order status and provide assistance to the Delivery Partner(s) etc.


2. Time Slot(S).


i. Delivery Partner(s) may undertake Delivery Services under Time Slot(s), wherein the Delivery Partner(s) can book a Time Slot in advance, for the day and time as opted by the Delivery Partner.

ii. Delivery Partner(s) who have opted for Time Slot(s) may be required to undergo training, where the Delivery Partner(s) will be shown how to book Time Slot(s) from the HealthcareNow DP Platform along with the other compliances and performance parameters which are required to be adhered to by the Delivery Partner(s).

iii. Delivery Partner(s) would be required to log-in to the HealthcareNow DP Platform to provide the Delivery Services on the day and time for which the Time Slot has been booked.

iv. During the booked Time Slot, the Delivery Partner(s) will be required to stay logged into the HealthcareNow DP Platform. In case a Delivery Partner(s) books a Time Slot and fails to log-in to the HealthcareNow DP Platform, it will impact the performance parameters of the Delivery Partner(s). In the event, a Delivery Partner(s) cancels a booked Time Slot or does not log into the HealthcareNow DP Platform at the relevant time of the Time Slot, the Delivery Partner(s) will be required to pay a fee. Such fee may be deducted from the payout of the Delivery Partner(s). It is further clarified that no fee shall be applicable wherein the failure to communicate is due to unavoidable circumstances such as accident or any health-related conditions etc.

v. The Delivery Partner Fee(s) shall be paid to the Delivery Partner(s) for the successfully completed orders on a weekly basis. The Delivery Partner Fee(s) and any change thereof will be notified to the Delivery Partner(s) through the HealthcareNow DP Platform.

vi. In case a Delivery Partner(s) would require any assistance, clarification and/or help with regard to Time Slot(s), including for booking, payouts and/or other information, then the Delivery Partner(s) may reach out to the HealthcareNow DP Platform support for assistance.

3. Payment and Fees


i. In order to enable the Delivery Partner(s) to provide Delivery Services and in consideration of certain assets including, delivery bags, t-shirts etc. (“Asset(s)”), training and support services provided by HealthcareNow, the Delivery Partner(s) shall be required to pay a one-time onboarding fee to HealthcareNow of such amount and in such manner as prescribed by HealthcareNow from time to time (“Onboarding Fee”).

ii. HealthcareNow DP Platform is available to the Delivery Partner(s) for free of charge. and you can continuously use the HealthcareNow DP Platform and the Platform Services with out any platform fee or charges.

iii. The Delivery Partner(s) shall create a log-in ID on the HealthcareNow DP Platform to be able to render Delivery Services. The Delivery Partner(s) acknowledges that the log-in credentials, including the Delivery Partner’s name and password, are confidential and, accordingly, these details shall not be shared with any third party, without prior written approval from HealthcareNow. Any misuse of these credentials shall be the sole liability of the Delivery Partner(s) and may result in suspension of the login ID. In the event HealthcareNow identifies that any third party is misusing login credentials (thereby impersonating an active Delivery Partner) and/or accessing the HealthcareNow DP Platform using credentials that do not belong to such person, HealthcareNow may (a) disable and suspend such log-in ID which has been misused; and/or (b) merge different log-in ID’s associated with the Delivery Partner.

iv. You may not share, create or use an account for anyone other than yourself, create multiple accounts or provide or use false information to obtain access to the HealthcareNow DP Platform. You further agree and acknowledge that any amount outstanding due to occurrence of any of the above-mentioned events or from any person misusing your personal information to obtain access to the HealthcareNow DP Platform, may be adjusted against any amount payable to you.

v. The Delivery Partner(s) shall have access to the HealthcareNow DP Platform at all times unless there is a technical error with the HealthcareNow DP Platform or the HealthcareNow DP Platform is being updated. Once logged-in, the Delivery Partner(s) shall remain available for the purpose of receiving orders placed by the Customer(s) and undertaking Delivery Services in connection with the same.

vi. The Delivery Partner(s), by logging-in to the HealthcareNow DP Platform, understands and agrees to being tracked by HealthcareNow via GPS enabled tracking technology, for HealthcareNow to share this information with the Customer(s) on a real-time basis for tracking the status of their orders. However, it is clarified that the Delivery Partner(s) shall be tracked only for the duration while the Delivery Partner(s) is logged-in to the HealthcareNow DP Platform.

4. Tax


i. You authorize HealthcareNow to deduct Tax Deducted at Source ("TDS"), where applicable, in accordance with the provisions of the Income Tax Act, 1961 and any other applicable laws, from any amounts payable or remittable to you under the Agreement or these Terms and Conditions, including Delivery Partner Charges collected by HealthcareNow on your behalf from Pharmacies and Customers. HealthcareNow shall provide proof of such deductions to the Delivery Partner within the timelines prescribed under applicable law.

ii. HealthcareNow shall issue tax invoices for any amounts charged to you, containing such particulars as may be required under the Goods and Services Tax Act, 2017 and the rules made there under, as amended from time to time. Unless otherwise stated, all amounts charged by HealthcareNow shall be inclusive of applicable taxes.

iii. Effective September 22, 2025, you authorize HealthcareNow, in accordance with Section 9(5) of the Central Goods and Services Tax Act, 2017 and other applicable laws, to collect and remit the applicable Goods and Services Tax ("GST") on Delivery Partner Charges collected from Customers on your behalf in consideration of the delivery services provided by you. You further authorize HealthcareNow to issue tax invoices on your behalf to Customers, as required under applicable GST laws and regulations.

5. Delivery Partner Obligations and Responsibilities


i. Upon logging into the Delivery Partner Platform ("DP Platform") using their credentials, a Delivery Partner shall be deemed available to accept and perform Delivery Services assigned through the DP Platform. Where Delivery Partners have booked specific time slots, they must remain logged in and available during the scheduled period. No Delivery Partner Charges shall be payable for any booked time slot during which the Delivery Partner fails to log in or fails to complete assigned deliveries.

ii. Delivery Partners shall use their own vehicle to perform Delivery Services and must ensure that such vehicle remains in safe and roadworthy condition. All expenses related to the operation, maintenance, repair, insurance, and upkeep of the vehicle shall be borne solely by the Delivery Partner.

iii. Any assets provided by HealthcareNow to the Delivery Partner shall be used responsibly and exclusively for the purpose of rendering Delivery Services. Delivery Partners shall take reasonable care to prevent loss, damage, or misuse of such assets.

iv. Upon acceptance of a delivery assignment, Delivery Partners shall perform their duties diligently, ethically, and professionally, ensuring timely pickup and delivery of orders. Delivery Services shall be carried out with the degree of skill, care, and diligence reasonably expected of a person engaged in similar services.

v. Delivery Partners must possess and maintain all valid licenses, registrations, permits, and insurance policies required under applicable laws, including a valid driving license, vehicle registration certificate, and vehicle insurance. Copies of such documents, along with any additional information requested by HealthcareNow, shall be provided prior to commencing services and whenever required thereafter.

vi. The Delivery Partner shall comply with all applicable laws, regulations, rules, and statutory requirements while providing Delivery Services, including but not limited to the provisions of the Drugs and Cosmetics Act, 1940, the Drugs and Cosmetics Rules, 1945, the Motor Vehicles Act, 1988, and any other applicable laws, regulations, guidelines, notifications, or amendments thereto.

vii. HealthcareNow reserves the right to suspend or terminate a Delivery Partner’s account if it reasonably believes that the Delivery Partner has engaged in fraudulent, dishonest, or unethical conduct, including collusion with pharmacies or customers, excessive order cancellations, delivery delay fraud, or any activity intended to gain undue advantage. Such action may remain in effect pending investigation and resolution.

viii. Delivery Partners shall not tamper with, damage, open, alter, or otherwise interfere with customer orders except as expressly authorized. Any loss or damage incurred by HealthcareNow due to intentional misconduct by the Delivery Partner may be recovered from any fees payable to the Delivery Partner.

ix. For Cash On delivery orders, Delivery Partners shall collect the order value, including applicable delivery charges, on behalf of HealthcareNow. All collected amounts, excluding customer tips, must be remitted to HealthcareNow in accordance with its prescribed procedures and timelines. Failure to remit collected funds may result in deduction of the outstanding amount from the Delivery Partner’s earnings. Any failure to collect payment from a customer must be reported immediately through the DP Platform support channels.

x. Delivery Partners shall personally perform all assigned Delivery Services and shall not delegate, subcontract, or transfer such responsibilities to any third party. Any unauthorized delegation may result in suspension or termination of access to the DP Platform. The Delivery Partner shall remain fully responsible for the actions, omissions, and liabilities arising from any unauthorized third-party involvement.

xi. Delivery Partners shall refrain from any conduct that may adversely affect the reputation, business operations, or interests of HealthcareNow and shall comply with all applicable legal and contractual obligations.

xii. Delivery Partners shall maintain the confidentiality of all customer information, platform data, and other confidential information obtained in connection with the Delivery Services. Such information shall be used solely for the purpose of fulfilling delivery obligations. Any unauthorized disclosure or misuse of confidential information may result in immediate termination of the Delivery Partner Agreement and other legal remedies available to HealthcareNow.

xiii. HealthcareNow does not actively monitor the activities of Delivery Partners during the course of service. However, HealthcareNow reserves the right to investigate and take appropriate action in response to customer complaints, reports, or suspected violations of these Terms and Conditions.

xiv. Any queries or concerns relating to order collection, delivery instructions, customer locations, handling of products during transit, or other operational matters shall be directed to the designated support team responsible for the area in which the Delivery Partner is providing Delivery Services.

6. Obligations of HealthcareNow


i. All information relating to Delivery Partners obtained by HealthcareNow shall be treated as confidential and shall be used strictly in accordance with these Terms and Conditions.

ii. HealthcareNow shall undertake reasonable efforts to ensure continuous accessibility of the DP Platform to Delivery Partners. However, if a Delivery Partner is unable to log in to or receive orders through the DP Platform due to technical issues attributable to HealthcareNow, and such issue is confirmed upon investigation, HealthcareNow shall compensate the Delivery Partner for the direct monetary loss incurred as a result. Delivery Partners may report such issues via the chat support available on the DP Platform or by contacting the support team, who will make reasonable efforts to resolve the concern.

7. Delivery partner information


i. HealthcareNow collects, stores, accesses, uses, shares, and otherwise processes Delivery Partner Information in accordance with its Privacy Policy and applicable data protection laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

ii. HealthcareNow collects, stores, accesses, uses, and processes Delivery Partner Information for purposes necessary to operate and administer its business and related administrative functions, including but not limited to background verification, marketing, asset distribution, training and support services, analytics, research, recovery of dues, and any other lawful purpose as may be required by HealthcareNow or under applicable laws. The Delivery Partner hereby expressly consents to the use of their personal data, whether forming part of the Delivery Partner Information or otherwise, for the foregoing purposes and any ancillary purposes necessary for the administration and operation of the HealthcareNow platform.

iii. HealthcareNow may share Delivery Partner Information with its affiliates and third-party service providers for business and administrative purposes and/or for providing additional services to Delivery Partners, which may include vehicle repair and maintenance services, electric vehicle facilitation, utility services, medical benefits, credit facilities, housing assistance, and other similar services, as may be offered from time to time on such terms as may be agreed in writing between the Delivery Partner and HealthcareNow or the relevant service provider.

iv. Subject to applicable laws, HealthcareNow may disclose Delivery Partner Information or information relating to Delivery Services to government authorities, judicial bodies, or other regulatory agencies where such disclosure is required pursuant to a lawful request or legal obligation.

8. Intellectual property rights


i. The Delivery Partner(s) agree that all Intellectual Property Rights shall vest exclusively in HealthcareNow, and HealthcareNow shall retain full ownership, possession, and control of the same. The Delivery Partner(s) are granted a limited, non-exclusive, non-transferable right to use such Intellectual Property Rights solely to the extent necessary for the performance of Delivery Services under these Terms and Conditions. No license or other rights, whether express or implied, are granted to the Delivery Partner(s) in relation to such Intellectual Property Rights under these Terms and Conditions.

ii. Notwithstanding anything contained herein, any use of the Intellectual Property Rights by the Delivery Partner(s) for purposes including, but not limited to, licensing, sublicensing, creating derivative works, or any use other than in connection with the performance of Delivery Services under these Terms and Conditions shall constitute a material breach of these Terms and Conditions. In such an event, HealthcareNow shall be entitled to initiate appropriate legal proceedings against the Delivery Partner(s) to recover any damages or losses suffered or likely to be suffered as a result of such breach.

9. Representations and warranties


The Delivery Partner(s) hereby represent and warrant as follows:

i. The Delivery Partner(s) are legally competent to enter into this Agreement under the provisions of the Indian Contract Act, 1872, and are not below 18 (eighteen) years of age as of the date of acceptance of these Terms and Conditions.

ii. All information provided by the Delivery Partner(s) is true, accurate, and complete. The Delivery Partner(s) shall not withhold any information that may affect HealthcareNow’s decision to permit access to the DP Platform or that may impact the Delivery Partner(s)’ ability to perform the Delivery Services under these Terms and Conditions, during the subsistence of this Agreement.

iii. The Delivery Partner(s) have not been convicted by any court in India or any other jurisdiction for any offence, including offences involving moral turpitude. Further, the Delivery Partner(s) are not subject to any pending litigation that may materially affect their obligations under these Terms and Conditions.

10. Suspension


i. HealthcareNow reserves the right to suspend and/or temporarily restrict a Delivery Partner’s access to the DP Platform if their actions are reasonably suspected to be associated with any form of fraud.

ii. HealthcareNow may deny onboarding or take corrective action where verification or authentication of Delivery Partner information, or any other submitted details, cannot be completed successfully.

iii. HealthcareNow may suspend or take disciplinary action against Delivery Partners who deter other Delivery Partners from performing Delivery Services, cause harm to other Delivery Partners, intentionally damage HealthcareNow orders or assets, or engage in any conduct that disrupts delivery operations or is otherwise detrimental to HealthcareNow.

iv. HealthcareNow continuously monitors quality and performance metrics of Delivery Partners and may suspend those who demonstrate sustained poor performance. Delivery Partners are advised to refer to the DP Platform for detailed quality standards and violation criteria that may result in suspension.

11. Termination


i. HealthcareNow may terminate this Agreement and disable the Delivery Partner’s access to the DP Platform at any time by providing the reason(s) for such termination. The date on which access to the DP Platform is disabled shall be deemed the effective date of termination ("Termination Date").

ii. Without limiting the generality of the foregoing, HealthcareNow reserves the right to terminate this Agreement with immediate effect upon the occurrence of any of the following events:
a. Breach of any provision of these Terms and Conditions by the Delivery Partner.
b. Violation of any applicable HealthcareNow policy by the Delivery Partner.
c. Repeated failure to verify or authenticate Delivery Partner Information, including the concealment of material information or the submission of incorrect, misleading, or false information.
d. Any wilful act or omission by the Delivery Partner that may expose HealthcareNow to legal, regulatory, contractual, financial, or reputational risk, including but not limited to fraud, misconduct, gross negligence, or any conduct prohibited under applicable laws.
e. Impersonation of any person or entity.
f. Collusion with Customers, Pharmacies, or other Delivery Partners for unlawful gain or monetary benefit.
g. Dissemination of false, misleading, or defamatory information concerning HealthcareNow through digital media, social networking platforms, or any other channel, with the intent or effect of harming HealthcareNow’s reputation, brand, or goodwill.
h. Interference with the performance of Delivery Services by other Delivery Partners, causing harm to other Delivery Partners, wilfully damaging HealthcareNow’s property, customer orders, or the property of other Delivery Partners, or engaging in any activity that disrupts HealthcareNow’s operations or services.
iii. The Delivery Partner acknowledges that additional quality standards, policies, and grounds for suspension or termination may be specified on the DP Platform and shall form an integral part of these Terms and Conditions.

iv. The Delivery Partner may terminate this Agreement by notifying HealthcareNow and/or its designated support team of their intention to terminate, along with the reason(s) for such termination. The Delivery Partner may provide prior written notice of termination to HealthcareNow and/or its support team before the intended termination date.

vi. Where a Delivery Partner’s account is suspended or terminated, HealthcareNow shall notify the Delivery Partner of the relevant performance deficiencies or other grounds for such action through its support team, an authorized HealthcareNow representative, and/or notifications on the Delivery Partner Platform (“DP Platform”). The Delivery Partner may contact the support team or use the DP Platform support channels to seek clarification or assistance regarding the suspension or termination. HealthcareNow may, at its sole discretion, review the circumstances leading to the suspension or termination and may reinstate the Delivery Partner’s account if it determines that the non-compliance was unintentional, not attributable to the Delivery Partner, or if the Delivery Partner undertakes to improve performance in accordance with the applicable performance parameters. Delivery Partners may contact the support team to obtain further information regarding performance metrics and measures necessary to improve the quality of Delivery Services.

12. Inactivity


The Delivery Partner(s) understand and agree that failure to log in to the DP Platform for a continuous period of 30 (thirty) days without prior intimation to HealthcareNow may result in deactivation of the Delivery Partner(s)’ account.In the event the Delivery Partner(s) contact HealthcareNow through the support team, DP Platform chat support, or email requesting reactivation of their account on the DP Platform, HealthcareNow may, at its sole discretion, reactivate the account.


12. Relationship of the parties


i. The Delivery Partner(s) are independent contractors engaged to provide Delivery Services on a principal-to-principal basis. Nothing contained in these Terms and Conditions shall be construed to create any partnership, joint venture, employment, agency, franchise, sales representative, or any other fiduciary or vicarious relationship between HealthcareNow and the Delivery Partner(s). It is expressly agreed that no employer-employee or principal-agent relationship exists between HealthcareNow and the Delivery Partner(s). The Delivery Partner(s) shall not be entitled to claim any right to permanent employment or employment-related benefits under any applicable laws. The Delivery Partner(s) shall not, at any time, represent themselves to any Customer, Pharmacy, or any third party as employees or representatives of HealthcareNow.

ii. It is further clarified that HealthcareNow shall not exercise operational control or day-to-day supervision over the activities of the Delivery Partner(s), except in circumstances where a complaint is received from a Pharmacy or Customer, or where the conduct of the Delivery Partner(s) has a direct adverse impact on HealthcareNow’s reputation, goodwill, or platform integrity.

Indemnification and limitation of liability


i. The Delivery Partner agrees to indemnify, defend, and hold harmless HealthcareNow, its affiliates, successors, assigns, directors, officers, employees, agents, representatives, and associates from and against any and all losses, damages, liabilities, claims, penalties, costs, and expenses (including reasonable legal fees and expenses) arising out of or related to:
a. Any actual or alleged breach of these Terms and Conditions by the Delivery Partner
b. Any violation of HealthcareNow’s policies, guidelines, or operational requirements
c. Any violation of applicable laws, regulations, or governmental requirements
d. Any wilful act, omission, or conduct that causes or is likely to cause harm to the reputation, goodwill, or business interests of HealthcareNow
e. Any infringement or alleged infringement of HealthcareNow’s intellectual property rights
f. Any unauthorized access, use, disclosure, transfer, or misuse of customer data, confidential information, or proprietary information belonging to HealthcareNow
g. Any act of theft, fraud, negligence, misconduct, or other wrongful conduct by the Delivery Partner
h. Any damage to property, assets, or belongings of HealthcareNow, a Pharmacy, or a Customer
i. Any inappropriate, abusive, threatening, or unprofessional behaviour toward Customers, Pharmacies, HealthcareNow personnel, or other stakeholders
j. Any tampering, interference, alteration, or mishandling of items entrusted to the Delivery Partner during the performance of delivery services

ii. The Delivery Partner shall indemnify and keep HealthcareNow indemnified against all losses, damages, liabilities, costs, expenses, and claims incurred by HealthcareNow as a result of any complaint, claim, or dispute raised by a Customer, Pharmacy, regulatory authority, or any third party arising from the Delivery Partner’s actions or omissions, including but not limited to:
a. Any service disruption, wilful act, or omission by the Delivery Partner for which HealthcareNow has compensated a Customer, Pharmacy, or another delivery partner
b. Any fines, penalties, claims, assessments, or payments made by HealthcareNow to any governmental or regulatory authority on behalf of the Delivery Partner
c. Any loss of, or damage to, the property or assets of HealthcareNow, a Customer, a Pharmacy, or any other delivery partner, excluding normal wear and tear arising in the ordinary course of providing delivery services
d. Any loss of business, revenue, reputation, or goodwill suffered by HealthcareNow as a result of fraudulent, dishonest, or deliberate misconduct by the Delivery Partner in connection with the delivery services

iii. In the event that a Delivery Partner incurs a monetary loss arising from
a. non-compliance by a Pharmacy or Customer
b. a Customer’s failure to collect or pay for an order
c. a Pharmacy’s failure to service an order, or
d. any other circumstances relating to order fulfilment, HealthcareNow may, following its internal verification process, reimburse the Delivery Partner for such loss. Such reimbursement shall be subject to the Delivery Partner demonstrating that all prescribed instructions were followed and all reasonable efforts were made to fulfil the order.HealthcareNow shall not be liable for any loss arising from misconduct, unlawful acts, or other actions attributable to the Delivery Partner, Customer, or Pharmacy. However, where appropriate, HealthcareNow may provide reasonable assistance to the Delivery Partner in resolving such matters.

iv. Where a Delivery Partner suffers a monetary loss directly resulting from the malfunction, partial failure, or complete failure of any HealthcareNow network terminal, data processing system, computer transmission system, or telecommunications infrastructure while providing Delivery Services, HealthcareNow may, upon verification, compensate the Delivery Partner for such loss. Notwithstanding the foregoing, any compensation payable under this clause shall not exceed the Delivery Charges applicable to the relevant order.

v. If a Delivery Partner incurs any loss or damage due to circumstances including, but not limited to, inaccurate instructions provided by a Customer, network failures, or a Customer’s failure to make payment, HealthcareNow may, following verification, reimburse the Delivery Partner for such loss, provided that the Delivery Partner has complied with all applicable instructions and made reasonable efforts to collect and/or deliver the order.

vi. HealthcareNow shall not be responsible or liable for any loss, damage, injury, claim, or expense arising from any act, omission, negligence, misconduct, or unlawful conduct of a Delivery Partner towards any Customer, Pharmacy, or fellow Delivery Partner. The Delivery Partner shall remain solely responsible and liable for such actions.

vii. Notwithstanding anything to the contrary contained in these Terms and Conditions, the aggregate liability of a Delivery Partner to HealthcareNow in respect of any order-related issue shall not exceed the value of the relevant order. In the case of Cash on Delivery (COD) orders, the Delivery Partner’s liability shall be limited to the amount of cash collected from Customers and not remitted to HealthcareNow.

14. Specific indemnity


The Delivery Partner(s) shall be solely responsible and liable for any accidents, damages, or losses involving the Delivery Partner Vehicle while performing Delivery Services. HealthcareNow shall not be liable for any such accidents or incidents.

15. Dispute resolution


i. These Terms and Conditions shall be governed and construed in accordance with the laws of India.

ii. The courts located in Hyderabad shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms and Conditions.

Miscellaneous


i. Force Majeure: Neither party shall be held liable or deemed in breach of these Terms & Conditions for any delay or failure in performance arising from events beyond its reasonable control. Such events include, but are not limited to, acts of God, pandemics, government actions or interventions, lockouts, fire, natural disasters, earthquakes, storms, floods, lightning, violence by armed forces, mobs, or enemies of the country.

ii. Assignment: The Delivery Partner(s) shall not assign any rights or obligations under these Terms & Conditions to any third party without the prior written consent of HealthcareNow.

iii. Entire Agreement: These Terms & Conditions constitute the entire agreement between HealthcareNow and the Delivery Partner(s) with respect to the subject matter herein and supersede all prior discussions, understandings, and agreements, whether oral or written.

iv. Term: This Agreement shall come into effect from the date of execution and shall remain valid until terminated in accordance with its provisions or until the Delivery Partner(s) is de-enrolled from the DP Platform.

v. Severability: If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, such provision shall be severed to the extent of its invalidity without affecting the validity and enforceability of the remaining provisions.

vi. Grievance Redressal Mechanism: A grievance redressal mechanism is available for Delivery Partners who believe they have experienced discrimination or harassment from customers, pharmacies, fellow delivery partners, or support staff. This mechanism operates under the zero-tolerance policy on discrimination and harassment, as available on the HealthcareNow Delivery Partner Application. Delivery Partners may also contact HealthcareNow representatives or use the DP Platform chat support for assistance, clarification, or resolution of grievances. Upon receipt of a grievance, HealthcareNow shall review and investigate the matter and provide a resolution within fifteen (15) days. No Delivery Partner shall be subjected to any penalty for raising a grievance in good faith.

vii. Use of Photographs: The Delivery Partner(s) hereby consent to HealthcareNow’s use of their photographs for purposes including internal communications, presentations, training materials, marketing, and advertising activities across online and offline platforms, including social media and digital advertising. The Delivery Partner(s) also consent to HealthcareNow sharing such photographs with third parties for the aforementioned purposes.

17. Modification


HealthcareNow may modify or update these Terms and Conditions (“T&Cs”) at its sole discretion from time to time. Any such changes will be communicated to Delivery Partners via the DP Platform at least 48 (forty-eight) hours prior to their implementation. Upon receiving such notification, Delivery Partners are responsible for reviewing the updated T&Cs and ensuring ongoing compliance.

If any Delivery Partner requires clarification regarding the changes, they may contact the support team for assistance. In the event that a Delivery Partner does not agree with the revised T&Cs, they are advised to discontinue use of the DP Platform immediately. Continued use of the DP Platform after the changes come into effect shall constitute deemed acceptance of the updated T&Cs and agreement to be bound by them.

18. Disclaimer


This document constitutes an electronic record under the Information Technology Act, 2000 and the rules framed thereunder, as applicable, including provisions relating to electronic records as amended from time to time. It is generated by a computer system and does not require any physical or digital signatures for validity or enforceability.The Delivery Partner(s) acknowledge and agree that acceptance of an order placed by a Customer creates a separate and independent contract between the Delivery Partner(s) and the Customer(s) for the provision of Delivery Services.

HealthcareNow does not guarantee continuous or uninterrupted access to the DP Platform or assurance that the Delivery Partner(s) will always be able to access the DP Platform or provide Delivery Services at all times or in all locations. The Platform Services, DP Platform, and all related technology are provided on an “as is” and “as available” basis.

HealthcareNow expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and any warranties arising from course of performance, course of dealing, or usage of trade. It also does not warrant that defects or errors will be corrected in a timely manner or at all.
